Terms of Sale

1. Seller and product

The seller is ForthFox Solutions, sole proprietorship / individual trade name, 224, Apple Square Beside Lajamni Chowk, Mota Varachha, Surat, Gujarat 394101, India ("Seller", "we", "us"). SaaSOS is a software product brand operated by the Seller under the ForthFox Solutions trade name. These Terms do not create a partnership, joint venture, employment, or agency relationship.

The product offered for sale today is the SaaSOS Runtime: a downloadable React + Laravel multi-tenant SaaS starter kit delivered as source code, documentation, and related materials (the "Software").

2. Account and eligibility

You must provide a valid email address and have legal capacity to enter a binding contract. If you buy for a company, you represent that you are authorized to bind that company.

You are responsible for keeping portal login credentials and download links confidential. Notify us promptly at the contact details below if you suspect unauthorized access.

3. Orders, pricing, and payment

Prices are shown at checkout in USD (Stripe) or INR (Razorpay), including any active offer or coupon. Payment is processed by Stripe and/or Razorpay. We do not store full card numbers.

GST is not currently charged on SaaSOS Runtime purchases. Confirm tax treatment with a qualified adviser for your turnover and customer locations.

An order is accepted when payment succeeds and we issue license credentials or download access. We may refuse or cancel an order for fraud, abuse, technical failure, or pricing error, and will refund any unauthorized charge.

4. License grant

Subject to payment and these Terms, we grant you a perpetual, non-exclusive, non-transferable commercial license to use the Software versions you lawfully obtain under the Commercial License. Copyright and other intellectual property rights in the Software remain with the Seller.

You may use the Software to build and deploy unlimited end products for yourself or your clients. You may not resell, redistribute, or sublicense the Software as a competing starter kit, template, or boilerplate.

5. Updates and support entitlement

Each qualifying Runtime purchase includes 12 months of Runtime updates and 12 months of initial setup support from the purchase date, as described in the Support Policy.

After the update window ends, you keep perpetual rights to versions obtained during the entitlement period. Access to later Runtime releases may require a separate Update Pass or renewal when offered.

6. Digital delivery and refunds

The Software is digital content delivered immediately after successful payment. By completing checkout you request immediate delivery and acknowledge that download access begins at once.

Refunds are governed by the Refund Policy. In summary, a conditional 7-day refund may be available when documented local installation fails and support cannot resolve the issue. Mandatory consumer rights remain unaffected.

7. Acceptable use and customer deployments

You must comply with the Acceptable Use Policy. You are solely responsible for securing, hosting, complying with law, and supporting any product you build with the Software, including your own customers' data.

8. Warranties and disclaimer

THE SOFTWARE AND PORTAL ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT WHERE MANDATORY LAW PROVIDES OTHERWISE.

We do not warrant uninterrupted operation, absolute security, or fitness for every regulatory regime. Production readiness depends on your configuration, hosting, testing, and legal review.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING OUT OF THESE TERMS OR A PURCHASE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE AFFECTED ORDER IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR LOST-PROFIT DAMAGES, OR FOR LOSS OF DATA, BUSINESS INTERRUPTION, OR THIRD-PARTY CLAIMS ARISING FROM YOUR DEPLOYMENTS, EXCEPT WHERE MANDATORY LAW PROHIBITS THAT LIMITATION.

10. Termination

We may suspend portal access or revoke a license if you materially breach these Terms, commit fraud, initiate an unwarranted chargeback after delivery, or use the Software in a prohibited way. On revocation for material breach you must stop redistributing the Software as a competing kit and destroy unauthorized copies used for that purpose.

Sections that by nature should survive (including IP ownership, restrictions, disclaimer, liability limits, and governing law) survive termination.

11. Governing law and disputes

These Terms are governed by the laws of India, with exclusive jurisdiction in Surat, Gujarat, without regard to conflict-of-law rules that would require another forum, except where mandatory consumer law requires otherwise.

Before filing a claim, contact us so we can attempt informal resolution. Nothing here prevents either party from seeking urgent injunctive relief for IP misuse.

12. Changes and contact

Policy version 2026-07-30, effective 30 July 2026. We may update these Terms for future purchases by posting a new version. Material changes will not retroactively reduce rights already granted for a completed purchase except as required by law.

Mandatory consumer and privacy rights

Nothing in these documents limits any non-waivable right you have under applicable consumer, privacy, or other mandatory law. Where mandatory law conflicts with these terms, that mandatory law controls for the affected right only.
